These Terms of Service (“Terms”) govern your access to and use of the Propel cashflow management platform (the “Service”) provided by Propel App Pty Ltd (“Propel”, “we”, “us”, or “our”). By accessing or using the Service, you agree to be bound by these Terms.
PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SERVICE. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE.
1. Acceptance of Terms
By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Description of Service
Propel is a software-as-a-service (SaaS) platform designed to help agencies manage their cashflow through client proposals, automated billing, payment processing, and business analytics. The Service allows you to:
- Create and send client proposals
- Capture and store client payment information
- Automatically invoice clients and process payments
- Access data analytics and business insights
- Manage client relationships and track payment history
3. Account Registration and Eligibility
3.1 Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements.
3.2 Account Creation
To use the Service, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.3 Account Security
You must immediately notify us of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to protect your account credentials.
4. Subscription Plans and Fees
4.1 Subscription Plans
We offer multiple subscription plans (Starter, Professional, and Enterprise) with varying features and pricing. Current pricing and plan details are available on our website at https://propelapp.com.au.
4.2 Payment Terms
Subscription fees are billed monthly or annually in advance, depending on your chosen plan. You authorize us to charge your designated payment method on a recurring basis. All fees are non-refundable except as expressly stated in these Terms or required by law.
4.3 Price Changes
We reserve the right to modify our pricing at any time. We will provide you with at least 30 days’ notice before any price increase takes effect. If you do not agree to the price change, you may cancel your subscription before the new price takes effect.
4.4 Transaction Fees
In addition to subscription fees, payment processing fees charged by third-party payment processors (such as credit card processing fees) may apply to transactions processed through the Service. These fees are separate from our subscription fees and are your responsibility.
4.5 Taxes
All fees are exclusive of applicable taxes (including GST). You are responsible for paying all taxes associated with your use of the Service.
5. Payment Processing
5.1 Third-Party Payment Processors
We use third-party payment processors to handle payment transactions. By using the payment processing features, you agree to comply with the terms and conditions of our payment processors. We are not responsible for any errors, delays, or issues caused by third-party payment processors.
5.2 Client Payments
When you use the Service to collect payments from your clients, you are responsible for ensuring that you have authorization to charge their payment methods and that you comply with all applicable laws and regulations. You are solely responsible for any disputes, chargebacks, or refunds related to client payments.
5.3 Failed Payments
If a payment for your subscription fails, we may suspend or terminate your access to the Service until payment is received. You are responsible for maintaining valid payment information.
6. User Responsibilities and Acceptable Use
6.1 Your Responsibilities
You agree to:
- Provide accurate and complete information when using the Service
- Maintain the security and confidentiality of your account credentials
- Comply with all applicable laws and regulations, including tax and financial regulations
- Use the Service only for lawful business purposes
- Obtain necessary permissions and consents from your clients before collecting their payment information
- Be solely responsible for the accuracy of invoices, proposals, and other content you create
6.2 Prohibited Activities
You agree not to:
- Use the Service for any illegal, fraudulent, or unauthorized purpose
- Violate any laws, regulations, or third-party rights
- Attempt to gain unauthorized access to the Service or other users’ accounts
- Interfere with or disrupt the Service or servers or networks connected to the Service
- Use automated systems (bots, scrapers) to access the Service without permission
- Reverse engineer, decompile, or disassemble any part of the Service
- Transmit viruses, malware, or any harmful code
- Impersonate any person or entity or misrepresent your affiliation
- Use the Service to process payments for prohibited goods or services
7. Intellectual Property Rights
7.1 Our Rights
The Service, including all software, designs, text, graphics, logos, and other content (excluding your content), is owned by Propel and is protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes in accordance with these Terms.
7.2 Your Content
You retain all ownership rights to the content you create, upload, or store in the Service (“Your Content”), including proposals, invoices, client data, and other materials. By using the Service, you grant us a limited license to use, store, process, and display Your Content solely to provide the Service to you.
7.3 Feedback
If you provide us with any feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback into the Service without any obligation to you.
8. Data and Privacy
Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our collection and use of your information as described in the Privacy Policy.
You are responsible for ensuring that you have the necessary rights and consents to provide us with any data (including client data) that you upload to or process through the Service.
9. Service Availability and Modifications
9.1 Service Availability
We strive to provide reliable service but do not guarantee that the Service will be available at all times or that it will be uninterrupted, error-free, or secure. We may temporarily suspend the Service for maintenance, upgrades, or other reasons without prior notice.
9.2 Modifications to the Service
We reserve the right to modify, update, or discontinue any feature or functionality of the Service at any time without prior notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
10. Term and Termination
10.1 Term
These Terms commence when you first access or use the Service and continue until terminated in accordance with this section.
10.2 Termination by You
You may cancel your subscription and terminate your account at any time through your account settings or by contacting us at hello@propelapp.com.au. Cancellation will be effective at the end of your current billing period. No refunds will be provided for partial months or unused subscription time.
10.3 Termination by Us
We may suspend or terminate your access to the Service immediately, without prior notice or liability, if:
- You breach these Terms
- Your account is used for fraudulent or illegal activities
- Payment for your subscription fails
- We discontinue the Service
- Required by law or regulatory authorities
10.4 Effect of Termination
Upon termination, your right to access and use the Service will immediately cease. We may delete your account and all associated data within 30 days of termination, unless we are required to retain it by law. You should export any data you wish to retain before terminating your account.
11. Disclaimers and Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.
We do not warrant that:
- The Service will meet your specific requirements
- The Service will be uninterrupted, timely, secure, or error-free
- Results obtained from the Service will be accurate or reliable
- Any errors in the Service will be corrected
You acknowledge that you use the Service at your own risk and are solely responsible for any damage to your computer system or loss of data resulting from your use of the Service.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROPEL, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.
13. Indemnification
You agree to indemnify, defend, and hold harmless Propel, its directors, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to:
- Your use or misuse of the Service
- Your violation of these Terms
- Your violation of any third-party rights, including intellectual property rights or privacy rights
- Your Content or any transactions you conduct through the Service
- Any disputes between you and your clients
14. Dispute Resolution
14.1 Governing Law
These Terms are governed by and construed in accordance with the laws of Queensland, Australia, without regard to its conflict of law provisions.
14.2 Jurisdiction
You agree to submit to the exclusive jurisdiction of the courts located in Queensland, Australia to resolve any dispute arising out of these Terms or the Service.
14.3 Informal Resolution
Before initiating any legal proceedings, you agree to attempt to resolve any disputes informally by contacting us at hello@propelapp.com.au.
15. General Provisions
15.1 Changes to Terms
We may modify these Terms at any time by posting the revised Terms on our website. We will notify you of material changes via email or through the Service. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.
15.2 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Propel regarding the Service and supersede all prior agreements and understandings.
15.3 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
15.4 Waiver
Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
15.5 Assignment
You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.
15.6 No Agency
Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Propel.
15.7 Force Majeure
We will not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
